This Agreement (“Agreement”) is a legal contract between the Customer as an individual or an entity (the “Customer”) and UDL Distribution (Pvt.) Limited (“Company”) and will be effective when the Customer accepts this Agreement.
Your use of our mobile app & online services collectively referred to as (“UDL Express”) is subject to these terms of use & privacy policy (https://www.udlexpress.com/privacy-policy) which may be updated from time to time.
UDL Distribution (Pvt.) Limited, reserves the right to change this Agreement at any time at its absolute discretion without prior notice to the Customer, and such changes will be made available on the Website. Such changes will be binding on the Customer, and it is the Customer’s obligation to ensure that they have read and agree to the most recent Agreement.
Please read this agreement carefully & make sure you understand it. If you do not accept any part of it you may not use the UDL Express services.
The operation and availability of the systems used for accessing the mobile app, website or online services, including public telephone services, computer networks, and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the UDL Express services. Company is not in any way responsible for any such interference nor prevention of the Customer’s access nor use of the Software.
UDL Distribution (Pvt.) Limited will not be liable in any manner if the UDL Express services are not available at any time or for any period for any reason.
If for any reason Company has to interrupt the UDL Express services for longer periods than we would normally expect, Company will use reasonable endeavors to publish in advance details of such activities on the Website and/or via email / push notifications in advance.
Company reserves the right to cancel order(s) booked from the UDL Express app or website anytime with or without cause. Company will use reasonable endeavors to update its Customer(s) from such action whenever possible.
Intellectual property including but not limited to business trademarks, names, logos, images, videos, designs or other relevant material are the property of the UDL Distribution (Pvt.) Limited and / or its relevant partners.
UDL Express services are provided as-is-where-is without any warranties and this Agreement expressly excludes any liability for any loss or damages no matter how caused. Company reserves the right to suspend or terminate our services any time without notice with or without cause.
The Customer agrees to fully indemnify and hold UDL Distribution (Pvt.) Limited harmless against all claims, costs, damage and loss arising from the use of UDL Express services.
Company reserves the right to suspend or terminate your account or access to services (in whole or in part) at any time if (a) you materially or repeatedly breach this agreement; (b) we are required to do so as a legal requirement or a court order.
The Terms and Conditions of this Agreement are governed by the laws of Pakistan and the Customer hereby submits to the exclusive jurisdiction of the courts of Pakistan for all disputes arising out of or in connection with Terms and Conditions of this Agreement, without reference to any conflicts of laws.
The Party affected by Force Majeure shall not assume any liability under this Agreement. However, subject to the Party affected by Force Majeure having taken its reasonable and practicable efforts to perform this Agreement, the Party claiming for exemption of the liabilities may only be exempted from performing such liability as within limitation of the part performance delayed or prevented by Force Majeure. Once causes for such exemption of liabilities are rectified and remedied, both parties agree to resume performance of this Agreement with their best efforts.
